MONTREAL, June 30, 2015 /CNW Telbec/ - Fiera Capital Corporation ("Fiera Capital" or the "Firm") (TSX: FSZ) announced today that pursuant to the sale and purchase agreement entered into for the acquisition of Los Angeles, California based Bel Air Investment Advisors LLC as well as its affiliate Bel Air Securities LLC (collectively "Bel Air"), which closed on October 31, 2013, Fiera Capital has issued to the Bel Air selling partners an aggregate number of 277,578 Class A subordinate voting shares ("Class A Shares"), at a price per share of C$12.24 (or US$11.72), being the market price of the Class A Shares at the time of the signature of the sale and purchase agreement.
The purchase price for the Bel Air acquisition was US$125 million, of which approximately US$10 million is payable to the Bel Air selling partners by the issuance by Fiera Capital of new Class A Shares in three tranches over a 32-month period from the closing date (the "Tranche Issuances"), the first of which occurred on June 30, 2014 and the second of which occurred today.
In connection with Fiera Capital's issuance of Class A Shares to the Bel Air selling partners as partial consideration for the Bel Air acquisition, National Bank of Canada ("NBC") exercised in 2013 its anti-dilution rights under the investor rights agreement between Fiera Capital and NBC dated April 2, 2012, to maintain its ownership percentage of the issued and outstanding Class A Shares and Class B special voting shares of Fiera Capital. Therefore, Fiera Capital has issued to Natcan Investment Management Inc., a wholly-owned subsidiary of NBC, 149,469 Class A Shares at the same price per share as the Class A Shares issued today to the Bel Air selling partners. As a result of such issuance, NBC beneficially owns approximately 22.3% of the issued and outstanding Class A Shares and Class B special voting shares of Fiera Capital.
